TERMS AND CONDITIONS
LOOPRA Platform
1. Definitions
For the purpose of this Agreement:
- “Company” refers to LOOPRA and its affiliated operational entities.
- “Participant” refers to a user purchasing a Commercial Participation Package.
- “Commercial Package” refers to access to digital services, tools, and business-related features offered by LOOPRA.
- “Revenue Share” refers to discretionary distributions derived from verified commercial sales performance.
- “UTBL Token” refers to a utility token used within the LOOPRA ecosystem.
2. Nature of Relationship
This Agreement establishes a commercial service relationship only. It does not create any investment, partnership, joint venture, fiduciary, or equity relationship.
3. No Investment Scheme
LOOPRA does not operate as a collective investment scheme, pooled investment vehicle, fund, or managed portfolio.
Participants do not entrust capital to the Company for investment purposes.
4. Commercial Activity
The Company conducts independent commercial operations including product sourcing, distribution, digital services, and educational activities. Revenue Share distributions, when applicable, are derived from overall business performance.
5. Purchase of Commercial Package
Participation requires purchasing a Commercial Package. Package fees represent payment for access to services and platform functionality.
6. No Ownership Rights
Purchasing a Commercial Package does not grant ownership, shares, equity, voting rights, or claim over Company assets.
7. Revenue Share Mechanism
Participants may be eligible to receive Revenue Share distributions. Such distributions are performance-based, discretionary, and variable.
8. No Guaranteed Returns
The Company does not guarantee fixed returns, monthly income, annual percentages, or specific payout amounts.
9. Performance Dependency
Any Revenue Share distribution depends on sales volume, operational costs, market conditions, and internal financial strategy.
10. Revenue Cap
Total Revenue Share received by any Participant may be subject to internal caps defined in the applicable commercial plan. These caps serve as operational safeguards and do not represent projected returns.
11. Referral Program
Participants may refer customers who purchase Commercial Packages or products.
Commissions are paid solely on verified sales activity and never on recruitment alone.
12. Multi-Level Compensation
The referral program may extend across multiple levels as defined in the official compensation plan. Commission structures may be adjusted in accordance with business performance.
13. UTBL Token Distribution
Revenue Share distributions, where applicable, may be issued in UTBL Tokens at the prevailing internal valuation.
14. Token Utility
UTBL is a utility token used within the ecosystem for access, platform services, and related activities. It is not an investment instrument.
15. Token Value and Liquidity Risk
Token value may fluctuate due to market conditions. The Company does not guarantee liquidity, exchange listing, or resale value.
16. Voluntary Termination
Participants may discontinue their package at any time. Administrative processing fees may apply depending on duration and internal policy.
17. Compliance with Law
Participants confirm that all funds used originate from lawful sources and comply with applicable anti-money laundering regulations.
18. Prohibited Conduct
Participants may not:
- Make false income claims
- Represent Revenue Share as guaranteed income
- Mislead others regarding the nature of the platform
Violation may result in suspension or termination.
19. Limitation of Liability
The Company shall not be liable for losses arising from market conditions, business performance fluctuation, or token volatility.
20. Operational Adjustments
The Company reserves the right to modify compensation structures, internal allocation strategies, revenue mechanisms, or policies at its discretion.
21. Plan Structure
Each Commercial Plan includes defined access duration, operational limits, and eligibility criteria as described in official documentation.
22. Data Protection
All personal data is processed in accordance with applicable data protection laws.
23. Force Majeure
The Company shall not be liable for delays or failure to perform due to events beyond reasonable control.
24. Dispute Resolution
Any dispute arising from this Agreement shall first be resolved through internal mediation procedures before external legal action.
25. Governing Law
This Agreement shall be governed by the laws of England and Wales.
26. Acceptance
By purchasing a Commercial Package, the Participant confirms full understanding and acceptance of these Terms.
